The following is the entire Terms of Service between Ripple Web and the personal or corporate account holder (you / your).If you accept this Agreement (Terms of Service) without reading it in its entirety, you are still bound by this Agreement in its entirety. If you subscribe to the Ripple Web Dedicated Server Services, you also agree to be bound by the Ripple Web Terms of Service.

Payment

Schedule

You will pay all charges for the first payment period of service in advance on the first day of the Initial Term (the first payment period of service) for the Service (Dedicated Server) as specified in the order form from www.rippleweb.com. You will pay all subsequent charges for Services in advance on the anniversary day of the payment period (monthly, quarterly, etc). You must pay for the Services by credit card or Paypal. You authorize Ripple Web to charge your credit or debit card to pay for any charges that may apply to your account. You must notify Ripple Web of any changes to your card account (including, applicable account number or cancellation or expiration of the account), your billing address, or any information that may prohibit Ripple Web from charging your account. Your failure to fully pay any fees and taxes within 5 days from the applicable due date is a material breach of this Agreement, justifying Ripple Web to suspend its services and terminate this Agreement. If Ripple Web terminates for your material breach, you will be required to pay immediately all fees and costs accrued before the termination date, all monthly recurring fees for each month remaining in the term and any other amounts you owe to Ripple Web under this Agreement. You are responsible for any costs that Ripple Web incurs in enforcing collection, including reasonable attorneys' fees, court costs and collection agency fees. Ripple Web as a fraud prevention policy requires a copy of a government issued ID of the payee and front and back copies of the credit card on file, failure to provide this is considered a breach of this Agreement.

Pricing

Ripple Web reserves the right to change the price of services at any time. A change in price applies to services yet to be deployed and will not be applied to existing customers and their existing services.

Non-payment

Credit cards that are declined for any reason or Paypal payments that are not made are subject to a processing fee. Service will be suspended on accounts that reach 5 days past due. Service interrupted for non-payment is subject to a $100 reconnect charge. Accounts that are not collectable by Ripple Web may be turned over to an outside collection agency for collection.

Termination of Services

You must provide Ripple Web with written notice of termination at least seven days (7) before next payment period (payment anniversary day). To provide your notice of termination, you must send an email to billing@rippleweb.com and the email must be from the email address on file with Ripple Web.

Taxes

You are responsible for paying all federal, state, and local sales, use, value added, excise duty and any other taxes assessed with respect to the Services, other than taxes based on Ripple Web net income.

Hardware Replacement Guarantee

All hardware components (memory, hard-drive) that fail will be replaced within 2 hours of the problem being diagnosed. If they are not replaced within 2 hours, the customer will be reimbursed $25 for each hour that the component is not replaced. The total reimbursement amount will not exceed the monthly payment for the customer. If Ripple Web decides to give the customer a new server instead of replacing the component, the hardware replacement guarantee no longer applies.

Overages

Ripple Web will charge bandwidth overage charges at the end of the payment month. All overcharges or billing disputes must be reported within 60 days of the time that the dispute occurred.

Backup

Ripple Web strongly encourages you to back-up your data regularly. You agree that Ripple Web has no obligation to back-up any data related to your website unless Ripple Web expressly agrees otherwise in writing and you have currently paid for such back-up Services. You agree that you will regularly back-up your data whether or not Ripple Web has any obligation to do so. You further agree that your failure to back-up your data regularly will mitigate against any claim for damages you may bring against Ripple Web relating to any loss of your data.

Security

You are solely responsible for any security breaches affecting servers or accounts under your control. If your server is responsible for or involved in an attack on or unauthorized access into another server or system, Ripple Web may shut it down immediately (see AUP). You will pay any charges resulting from the cost to correct security breaches affecting Ripple Web or any of its other customers (see AUP for details). You further agree and understand that Ripple Web's Network IDS and DDoS Mitigation may not completely alert on or eliminate malicious content that can compromise your server and affect your end users. Ripple Web is in no way responsible for any lost revenue or down time because of this.
